First-Position vs. Second-Position Notes: Lien Priority

Two notes on the same house can have wildly different risk — because of lien position. It’s the order in which lenders get paid if the property is foreclosed and sold, and for note investors it changes everything about price, safety, and strategy.
What lien position means
When a property secures more than one loan, the liens are ranked by priority — usually by recording order. The first-position (senior) lien is paid first from any foreclosure sale; a second-position (junior) lien is paid only from what’s left over.

- Lower risk — first in line, backed directly by the property’s equity.
- Smaller discounts — buyers pay more for safety, so first liens trade closer to par.
- Control of the process — the senior lienholder generally drives any foreclosure.
Second-position notes
- Higher risk — paid only after the first lien; vulnerable if there’s little equity.
- Deeper discounts & higher potential yield — buyers demand a bigger reward for the added risk.
- Dependent on the senior loan — if the first lien forecloses and there’s no surplus, the second can be erased.
When does a second position make sense?
A junior note can be a sound investment when there’s a real equity cushion above it. The math that matters is combined loan-to-value (CLTV): add the first and second balances and divide by the property value. A second behind a small first on a high-equity home is very different from a second behind a maxed-out first with no cushion.

For a second-position note, confirm the exact balance and status of the senior loan (is it current?), the property value, and the equity above your lien. A performing first you didn’t know was about to default can sink your second overnight. Work the due diligence checklist and verify lien priority in title.
